1. Definitions for Printed and Self-Adhesive Label Contracts

In these Terms, the following definitions apply to ensure clarity in our agreements for label manufacturing and supply:

1.1 “Contract” means the legally binding agreement between you and us for the sale, purchase, and supply of goods and services, incorporating these Terms, any Quotation, and Order Confirmation.

1.2 “Customer Material” includes any documents, plans, drawings, specifications, logos, artwork, pictures, digital files, or other information provided by you for use in producing custom printed labels or self-adhesive stickers.

1.3 “Delivery” occurs when the goods (such as printed labels or self-adhesive labels) arrive at your specified address or are collected by you.

1.4 “Dispatch” means the point at which goods leave our premises in Bristol, UK.

1.5 “In Writing” refers to communications via letter, fax, email, or other electronic means, provided they comply with these Terms and UK electronic signature laws under the Electronic Communications Act 2000.

1.6 “Order Confirmation” is our written acceptance of your order, sent via email, fax, or letter, confirming details for your self-adhesive label or printed label order.

1.7 “Parties” means you (the customer) and us (Insignia Label Solutions Ltd).

1.8 “Quotation” is our formal written offer describing the specifications, pricing, and details for supplying custom labels, printed stickers, or related products.

1.9 “Terms” means these Terms and Conditions of Sale for UK label printing services.

1.10 “Us”, “Our”, “We”, or “the Company” refers to Insignia Label Solutions Ltd, a company registered in England and Wales (Company Number 07124906). 1.11 “You”, “Your”, or “the Customer” means the individual, business, or entity purchasing our goods and services, whether for commercial printed labels or personal use.

1.12 “Goods” means the plain or printed self-adhesive labels, stickers, or other labelling products supplied by us.

1.13 “Services” means the design, production, printing, and supply of labels using techniques such as flexographic, hotfoil, thermal, inkjet, or digital printing.

These definitions ensure our contracts for UK-based label solutions are clear and compliant with statutory requirements under the Consumer Rights Act 2015 for consumer customers and general contract law for business customers.

2. General Terms for Purchasing Custom Printed Labels in the UK

2.1 These Terms apply exclusively to all transactions for self-adhesive labels, printed stickers, and related services. They override any other terms you may propose, including those in purchase orders. Acceptance of your order is conditional on your agreement to these Terms, which are designed to be fair and compliant with UK unfair terms legislation (Unfair Contract Terms Act 1977 and Consumer Rights Act 2015).

2.2 These Terms, together with the Quotation and Order Confirmation, form the entire agreement between the Parties, superseding any prior discussions or representations. Modifications must be in writing and signed by a Company Director. Delivery of goods does not imply acceptance of alternative terms.

2.3 Your statutory rights under UK law, including those under the Sale of Goods Act 1979 and Consumer Rights Act 2015, are not affected. For consumers, this includes rights to goods of satisfactory quality, fit for purpose, and as described.

2.4 We reserve the right to correct any typographical, clerical, or omission errors in sales literature, Quotations, or other documents without liability, in line with good faith trading practices.

2.5 Communications via telephone, verbal instructions, fax, or email are binding if they conform to these Terms and UK electronic commerce regulations.

2.6 If you are a consumer (not purchasing for business purposes), additional protections apply under the Consumer Rights Act 2015, including a 14-day cooling-off period for distance sales. Please contact us if this applies.

3. Confidentiality and Intellectual Property Rights in Label Design

3.1 Both Parties agree to keep confidential information secret and not use it without consent, complying with UK GDPR and data protection laws.

3.2 All intellectual property rights (IPR) in documents, software, designs, or goods originating from us remain our property. This includes copyrights in label artwork under the Copyright, Designs and Patents Act 1988.

3.3 You grant us a non-exclusive license to use Customer Material for fulfilling the Contract. We may refuse to use material we deem offensive or infringing third-party IPR.

3.4 Upon full payment, we assign to you the IPR in the final printed labels, excluding pre-existing Company materials like templates or tools.

4. Your Obligations as a Customer for Self-Adhesive Label Orders

4.1 You warrant that:

4.1.1 You have assessed the suitability of goods (e.g., adhesive strength for UK environments) based on your own judgment.

4.1.2 The order placer is authorized to bind you.

4.1.3 Customer Material is accurate, legal, non-defamatory, and does not infringe third-party rights. You have obtained necessary consents.

4.1.4 You will provide Customer Material promptly and retain backups, insuring against loss.

4.2 You indemnify us against losses from breaches of these warranties, including IPR claims, legal fees, and costs, as permitted under UK law.

4.3 For business customers, you confirm compliance with anti-bribery laws (Bribery Act 2010) and modern slavery requirements (Modern Slavery Act 2015).

5. Pricing for Custom Printed Labels and Self-Adhesive Stickers

5.1 Prices are ex-works, exclusive of VAT, packaging, transport, and insurance, unless stated in the Quotation. We comply with UK VAT regulations.

5.2 Export orders may incur duties or licenses, which are your responsibility under UK export controls.

5.3 Delivery charges are accepted upon order placement.

5.4 Additional charges may apply for urgent work, artwork origination, cost increases (e.g., materials, exchange rates), changes requested by you, or delays attributable to you. We notify you of such charges in advance where possible.

5.5 Prices are valid for 30 days from Quotation unless specified.

6. Ordering Process for UK Label Printing Services

6.1 Quotations are invitations to treat, not offers, and are based on provided information.

6.2 Orders are accepted upon Order Confirmation, commencement of manufacture, or supplier orders.

6.3 We may refuse offensive Customer Material.

6.4 Errors in orders must be reported immediately. Cancellations require our written agreement, with indemnity for losses. Administration fees up to 35% may apply, plus incurred costs, compliant with Consumer Rights Act for consumers.

6.5 For consumers, distance selling rules allow cancellation within 14 days, except for bespoke goods like custom printed labels.

7. Payment Terms for Label Supplies

7.1 Payment is due in advance unless a credit account is agreed.

7.2 Invoices are payable in full without set-off, in GBP, via bank transfer or other agreed methods.

7.3 Time for payment is of the essence.

7.4 No cash payments to third parties.

7.5 Credit accounts: Payment within 30 days; late payments accrue interest at 4% above Bank of England base rate under Late Payment of Commercial Debts (Interest) Act 1998.

7.6 In case of overdue payments or insolvency, we may suspend work, withhold goods, exercise liens, and recover costs, including legal fees and £40/£20 hourly rates for recovery efforts.

7.7 Debt collection costs are recoverable.

8. Quantity Variations in Printed Label Deliveries

8.1 We aim for exact quantities but allow 5-10% margins for overs/shortages due to manufacturing processes, invoicing accordingly.

9. Dispatch and Delivery of Self-Adhesive Labels UK-Wide

9.1 Delivery dates are estimates, not of the essence unless agreed in writing.

9.2 We may deliver early or in installments.

9.3 Delays due to force majeure or your actions are not our liability.

9.4 Collection: Within 3 days of notice, or storage fees apply (1% per day, max 100%).

9.5 Signature confirms delivery; check goods upon receipt.

9.6 Exports: INCOTERMS 2020 apply if specified.

9.7 For consumers, delivery complies with Consumer Contracts Regulations 2013.

10. Risk in Goods

10.1 Risk passes upon Dispatch. Insure against transit risks.

11. Title Retention for Unpaid Labels

11.1 Title passes upon full payment, including interest.

11.2 Until then, you hold goods as bailee, store separately, and insure them.

11.3 We may repossess unpaid goods; sale proceeds held in trust.

11.4 Prepayments are non-refundable for bespoke items.

11.5 Tooling remains our property.

12. Warranties, Liability, and Remedies for Label Quality

12.1 Advice not confirmed in writing is at your risk; we exclude liability for unconfirmed representations, except fraudulent ones.

12.2 Goods are satisfactory quality but approximate designs; we use non-lithographic printing, suitable for self-adhesive labels.

12.3 Warranty: 12 months from Dispatch for specification compliance, subject to conditions.

12.4 No liability for defects from Customer Material, misuse, or unpaid invoices.

12.5 Claims: Notify within 3 days (obvious defects) or 3 months (latent), or waived.

12.6 Remedies: Replace, refund, or rebate at our discretion; no further liability.

12.7 Exclusion: No liability for indirect losses, capped at contract value or insurance recovery, per Unfair Contract Terms Act 1977.

12.8 All implied terms excluded to fullest extent, saving statutory rights.

12.9 For consumers: Full rights under Consumer Rights Act 2015 preserved, including remedies for faulty goods.

13. Termination of Label Supply Contracts

13.1 Immediate termination for serious breach unremedied within 30 days.

13.2 Payment due for work done on quantum meruit basis.

14. Force Majeure Events Affecting Label Production

14.1 No liability for delays beyond control, including pandemics, supply chain issues, or regulatory changes.

15. Governing Law and Dispute Resolution

15.1 Governed by English law; disputes in English courts.

15.2 Notices: By recorded delivery, deemed served after 2 days.

15.3 No waiver of breaches; severability clause.

15.4 Assignment: We may assign; you require consent. No third-party rights under Contracts (Rights of Third Parties) Act 1999.

16. Data Protection and Privacy in Label Orders

16.1 We process personal data per our Privacy Policy (available at [link]), compliant with UK GDPR.

16.2 Customer Material may include personal data; you warrant compliance as controller.

17. Environmental and Sustainability Commitments

17.1 We adhere to UK environmental laws (Environmental Protection Act 1990) and our policy to minimize impacts.

18. Feedback and Continuous Improvement

18.1 We value customer feedback on our printed labels and self-adhesive solutions to enhance services.
